Advertiser Agreement

This Advertiser Agreement (“Agreement”) is between NaughtyPages Inc. (“NaughtyPages”, “we”, “us”) and you, the person or business submitting a listing (“Advertiser”, “you”). This Agreement governs your use of NaughtyPages.com as an Advertiser and applies in addition to our Terms of Service and Privacy Policy.

1. Eligibility and Age Confirmation

By submitting a listing, you represent and warrant that:

• You are at least 18 years of age;
• You are acting on your own behalf or on behalf of a legal business entity you are authorized to represent;
• All individuals depicted in any photos or media you submit are at least 18 years of age, and you hold verifiable documentation (e.g., government-issued ID) confirming this;
• Your business operates legally under all applicable Canadian federal, provincial, and municipal laws; and
• You hold any licences, permits, or registrations required to operate your business.

2. Legal Services Only

You confirm that your listing advertises services that are entirely lawful in the province and municipality where your business operates. You will not use NaughtyPages.com to advertise:

• Sexual services as defined under Canada’s Protection of Communities and Exploited Persons Act or any provincial equivalent;
• Services involving minors in any capacity;
• Escort or companionship services where sexual conduct is implied or offered;
• Any service that violates the Criminal Code of Canada or applicable provincial law; or
• Any service involving human trafficking or exploitation of any kind.

3. Accurate Listing Information

You agree that all information submitted in your listing is accurate and not misleading, including:

• Business name, address, and contact information;
• Business hours;
• Description of services offered;
• Photos and media (must accurately represent your business); and
• Any credentials, certifications, or awards claimed.

You agree to keep your listing information current. NaughtyPages is not responsible for inaccuracies in Advertiser-submitted content.

4. Content Standards

All listing content must comply with our content standards. The following is prohibited:

• Explicit sexual images or nudity of any kind;
• Solicitation language, pricing for sexual acts, or coded language implying sexual services;
• Images depicting real people who have not consented to their image being used in this context;
• Defamatory, harassing, or threatening content directed at any person or business;
• Spam, duplicate listings, or listings intended to deceive users; and
• Content that violates any third party’s intellectual property rights.

NaughtyPages reserves the right to reject, edit, or remove any content that does not meet these standards, at our sole discretion and without prior notice.

5. Payment Terms

Free Listings

A basic listing is available at no cost. Free listings are subject to the same content standards and moderation policies as paid listings.

Paid Plans

Paid listing plans (Featured, Premium, Spotlight) are billed on a monthly subscription basis. By subscribing to a paid plan, you agree that:

• Your credit card or payment method will be charged on the same date each month;
• Subscriptions renew automatically unless cancelled before the renewal date;
• No refunds are issued once a listing has been published and gone live, including for partial months;
• If your listing is removed for a policy violation, no refund is owed for the remaining period; and
• You are responsible for keeping your payment information current. Failed payments may result in your listing being downgraded to a free listing.

Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain your paid listing features until that date.

Price Changes

We reserve the right to change plan pricing. We will provide at least 30 days’ notice before a price increase affects your subscription.

6. NaughtyPages’s Right to Suspend or Remove Listings

We reserve the right to suspend, modify, or permanently remove any listing at any time, with or without notice, if we determine, in our sole discretion, that:

• The listing violates this Agreement, our Terms of Service, or any applicable law;
• The listing poses a legal, reputational, or operational risk to NaughtyPages;
• The Advertiser has provided false or misleading information;
• A credible complaint about the Advertiser’s conduct has been received; or
• We have reason to believe the listing is connected to human trafficking or exploitation.

Suspension or removal does not entitle you to a refund except where required by applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless NaughtyPages Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Site; (b) content you submit; (c) your violation of this Agreement or any applicable law; or (d) any claim that your listing infringes a third party’s rights.

8. Dispute Resolution

In the event of a dispute between you and NaughtyPages arising from this Agreement, we encourage you to contact us first at advertisers@naughtypages.com. We will make a genuine effort to resolve disputes informally within 15 business days.

If informal resolution is unsuccessful, disputes will be resolved by binding arbitration in Toronto, Ontario, under the rules of the ADR Institute of Canada, unless you are a consumer and applicable law provides otherwise. Nothing in this clause prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction.

This Agreement is governed by the laws of Ontario and the federal laws of Canada.

9. Changes to This Agreement

We may update this Agreement from time to time. We will notify active Advertisers by email at least 14 days before material changes take effect. Continued use of your listing after that date constitutes acceptance of the revised Agreement.
